Nielsen has agreed to acquire DoubleVerify in a transaction valued at approximately $2.15 billion, combining two major providers of advertising measurement technology.

Nielsen will pay $13.60 per DoubleVerify share. The combination joins Nielsen’s cross-platform audience measurement with DoubleVerify’s technology for determining advertising quality, detecting fraudulent or automated traffic and measuring campaign performance.

DoubleVerify operates software across programmatic advertising platforms, social networks and digital publishers. Its systems use artificial intelligence and proprietary data to determine whether advertisements appeared in appropriate environments, reached real users and generated useful outcomes for advertisers.

That creates an increasingly valuable dataset as advertisers confront growing volumes of automated traffic, AI-generated content and fragmented media consumption.

Nielsen, traditionally associated with television ratings, has spent years expanding toward cross-screen and digital measurement. Acquiring DoubleVerify gives the company deeper exposure to programmatic advertising and creates the possibility of a measurement system that evaluates both audience reach and media quality.

The transaction also illustrates continued consolidation in advertising software as AI changes how campaigns are purchased, optimized and verified.
